Terms of Service

These Terms of Service ("Terms") govern access to and use of CliniTech, including the CliniTech website, web application, mobile applications, and related services (collectively, the "Service").

By creating an account, creating or joining a clinic, or otherwise using CliniTech, you agree to these Terms.

CliniTech is currently operated from Armenia.

1. About CliniTech

CliniTech is clinic-management software designed to help healthcare organizations and authorized staff manage operational and clinical workflows.

Depending on the features enabled for a clinic, the Service may include functionality relating to:

  • patients;
  • visits and scheduling;
  • treatment plans;
  • procedures;
  • dental charting;
  • patient and visit files;
  • referrals;
  • follow-ups;
  • staff and permissions;
  • notifications;
  • clinic administration;
  • subscriptions and billing.

CliniTech provides software tools for clinic management. CliniTech does not provide medical advice, diagnosis, treatment, or healthcare services.

2. Eligibility and Authority

You may use CliniTech only if you are legally permitted to enter into these Terms.

If you create, administer, or use a clinic account on behalf of a healthcare organization, you represent that you are authorized to act for that organization within the scope of your CliniTech access.

Clinic Administrators are responsible for ensuring that staff members invited to the clinic are authorized to access the clinic's information.

3. User Accounts

A user may register for a CliniTech account before creating or joining a clinic.

Access to clinic-management functionality requires the user to:

  • create a clinic; or
  • be invited to an existing clinic by an authorized Clinic Administrator.

You are responsible for:

  • providing accurate account information;
  • protecting your login credentials;
  • maintaining the security of your account;
  • promptly notifying CliniTech of suspected unauthorized access;
  • using your account only for lawful and authorized purposes.

Accounts should not be shared between individuals where separate user accounts are available.

4. Clinic Accounts

A clinic account represents an organization using CliniTech.

The person creating a clinic generally becomes responsible for initial administration of that clinic and may be granted Clinic Administrator permissions.

Clinic Administrators may, subject to applicable permissions:

  • invite staff;
  • assign appropriate roles;
  • manage staff access;
  • configure clinic features and settings;
  • manage operational clinic information.

The clinic is responsible for ensuring that only authorized persons have access to its account and patient information.

5. Roles and Permissions

CliniTech uses role and permission controls to restrict application functionality.

Roles may include Clinic Administrator, Doctor, Receptionist, Assistant, and other roles supported by the Service.

Certain platform-level administrative functions are reserved for CliniTech administrators and are not available to normal clinic users.

A visible feature or hidden user-interface element does not replace server-side authorization. CliniTech applies application-level access controls to protected operations.

Clinics are responsible for assigning staff the minimum access reasonably necessary for their work.

6. Customer Responsibilities

A clinic using CliniTech is responsible for its use of the Service, including:

  • obtaining any legally required patient consent or other legal basis for processing information;
  • ensuring information entered into CliniTech is lawful and appropriate;
  • determining which staff members may access patient and clinical information;
  • maintaining accurate patient and clinical records;
  • complying with healthcare, medical-confidentiality, professional, and data-protection laws applicable to the clinic;
  • determining applicable retention requirements for medical records;
  • maintaining appropriate internal policies and procedures for its personnel.

CliniTech does not determine which medical information a clinic is legally required to collect, retain, disclose, or delete.

7. Patient and Clinical Information

Clinics may use CliniTech to process personal, medical, and healthcare-related information about their patients.

The clinic determines the purposes for which patient and clinical information is entered and used.

CliniTech processes such information to provide the Service to the clinic.

Patient and clinical information may be subject to healthcare, confidentiality, medical-record retention, and other legal obligations.

A clinic must not use CliniTech to process information where it lacks the authority or legal basis to do so.

Additional information regarding processing of personal information is available in the CliniTech Privacy Policy and, where applicable, the CliniTech Data Processing Agreement.

8. Acceptable Use

You must not use CliniTech:

  • unlawfully;
  • to access a clinic, patient, or user account without authorization;
  • to interfere with or disrupt the Service;
  • to introduce malware or malicious code;
  • to circumvent security or permission controls;
  • to probe or exploit security vulnerabilities without authorization;
  • to upload unlawful content;
  • to impersonate another person;
  • to use information obtained through CliniTech for unauthorized purposes;
  • in a manner that infringes the rights of CliniTech, clinics, patients, or third parties.

CliniTech may restrict or suspend access where reasonably necessary to protect the Service, its users, patient information, or applicable legal obligations.

9. Subscription Plans

Some CliniTech functionality requires a paid clinic subscription.

Subscription pricing may include:

  • a base clinic charge;
  • charges associated with clinic staff or usage;
  • other charges described in the applicable pricing or subscription information.

The exact pricing model applicable to a clinic may depend on its market, subscription plan, billing arrangement, currency, or other agreed terms.

CliniTech may offer different plans or pricing structures in different countries or markets.

The pricing presented to a clinic before purchase or activation forms part of the applicable commercial terms.

10. Free Trial

CliniTech may provide eligible clinics with a free trial period.

The current standard trial may provide approximately one month of access before paid subscription charges begin, subject to the terms presented when the clinic registers or subscribes.

CliniTech may change the availability, length, or eligibility requirements for future free trials.

Unless otherwise stated, only one promotional trial may be available for the same clinic or customer.

11. Staff and Active-Day Billing

Certain CliniTech subscription arrangements may calculate part of the subscription fee based on staff usage.

Depending on the applicable plan, staff charges may be calculated using a method such as:

  • calendar-based participation; or
  • actual active working days during the billing period.

Where an active-working-day model is used, the amount attributable to a staff member may reflect the number of days during which that staff member had qualifying activity recorded in CliniTech.

The detailed calculation method applicable to a clinic will be described in the clinic's pricing, subscription, billing information, or invoice.

CliniTech may use reasonable application activity associated with clinic work to determine applicable active days according to the subscribed billing model.

CliniTech will not intentionally charge a clinic using a billing calculation materially different from the method presented for its applicable plan.

12. Billing Periods and Invoices

Subscription charges are calculated according to the clinic's applicable billing arrangement.

Invoices or billing records may include:

  • subscription period;
  • base clinic charge;
  • applicable staff or usage charges;
  • taxes where applicable;
  • payment status;
  • currency;
  • adjustments or credits where applicable.

Clinics are responsible for reviewing their billing information and promptly reporting suspected errors.

13. Payment

Payments may be handled differently depending on the clinic's country or billing arrangement.

For example:

  • certain Armenian clinics may be invoiced for payment by bank transfer or another locally supported method;
  • international online payments may be processed through Paddle.

Payment obligations are determined by the subscription, invoice, or checkout information presented to the customer.

14. Paddle Payments

For orders processed using Paddle:

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Paddle may handle payment processing, applicable taxes, invoices or receipts, subscription transactions, fraud prevention, and related payment functions.

Customers purchasing through Paddle may also be subject to Paddle's applicable buyer terms and policies.

CliniTech does not itself receive or store full payment-card numbers or card security codes for transactions where payment details are collected by Paddle.

15. Payment Due Dates and Past-Due Accounts

A clinic is responsible for paying amounts due under its applicable billing arrangement.

If a payment is not received when due, the clinic's subscription may enter a past_due or similar billing state.

CliniTech may provide a grace period before restricting modification of clinic data.

Under the current standard billing model, a clinic that remains unpaid may continue using the Service until the applicable payment deadline, which may extend until the 15th day of the relevant month.

The exact due date shown on the clinic's invoice or billing information controls where it differs from this general description.

16. Read-Only Access

If required payment remains outstanding after the applicable grace period, CliniTech may place the clinic into a read-only state.

In read-only mode, authorized users may generally continue to access and view clinic information, but operations that create, update, or otherwise modify records may be restricted.

CliniTech does not automatically delete clinic or patient information merely because a subscription becomes past due or read-only.

When outstanding payment obligations are resolved, CliniTech may restore normal subscription access according to the applicable billing rules.

17. Cancellation

A clinic may cancel its subscription according to the methods made available by CliniTech or the applicable payment provider.

Cancellation prevents future renewals or future subscription charges according to the effective date of cancellation.

Unless otherwise stated, cancellation does not automatically erase clinic, patient, billing, or historical information.

Access for the remainder of an already-paid billing period may continue where applicable.

For Paddle subscriptions, customers may also manage cancellation through Paddle-provided subscription-management mechanisms where available.

18. Clinic Closure

Subscription cancellation, non-payment, and permanent clinic closure are separate concepts.

A clinic that simply stops paying may remain stored in CliniTech in a restricted or read-only state so that payment may later be restored.

A clinic wishing to formally close its CliniTech account may contact:

support@clinitech.app

CliniTech may verify that a closure request is made by a person authorized to act on behalf of the clinic.

Closing a clinic account does not necessarily mean that all associated patient or clinical information can immediately be permanently destroyed.

Data may need to be retained where required or permitted by healthcare, medical-record, billing, tax, security, contractual, regulatory, or other applicable legal obligations.

19. Refunds

Except where required by applicable law, payments already made are generally non-refundable.

A clinic may cancel to prevent future renewal charges.

Refunds may nevertheless be considered where:

  • applicable law requires a refund;
  • Paddle or another payment provider determines that a refund is required under its applicable policies;
  • CliniTech approves a refund in exceptional circumstances;
  • an incorrect or duplicate charge has occurred;
  • another refund right has been expressly agreed.

Where Paddle processes the transaction, Paddle's applicable refund and buyer policies also apply.

20. Taxes

Prices may be exclusive or inclusive of taxes depending on the applicable country, payment method, invoice, or checkout.

Where Paddle acts as Merchant of Record, Paddle may calculate, collect, and remit applicable transaction taxes according to its obligations.

For other billing arrangements, the applicable invoice or billing documentation will describe taxes where relevant.

21. Notifications and Third-Party Integrations

CliniTech may offer optional integrations and notification channels, including services such as Telegram.

Third-party integrations are subject to the availability and terms of the third-party provider.

When a clinic or user enables an optional integration, limited information may be transmitted to that provider as necessary for the selected functionality.

Clinics and users are responsible for considering whether an optional third-party integration is appropriate for their use and legal obligations.

Core CliniTech functionality does not depend on optional Telegram notifications.

22. Service Availability

CliniTech aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability.

The Service may occasionally be unavailable due to:

  • maintenance;
  • upgrades;
  • infrastructure failure;
  • network or provider outages;
  • security incidents;
  • circumstances outside CliniTech's reasonable control.

Where reasonably possible, CliniTech will seek to minimize disruption.

23. Changes to the Service

CliniTech may modify, improve, replace, or discontinue features as the Service evolves.

We will seek to avoid changes that unnecessarily prevent clinics from accessing their existing records.

Material changes affecting paid functionality may be communicated where reasonably appropriate.

24. Data Availability and Backups

CliniTech uses technical measures intended to protect and preserve Service data.

However, clinics remain responsible for complying with any legal or professional obligations requiring them to maintain independent copies, exports, or records outside CliniTech.

CliniTech does not guarantee that the Service replaces every archival, backup, or regulatory recordkeeping obligation applicable to a healthcare provider.

25. Intellectual Property

CliniTech and its software, design, branding, documentation, and related materials are owned by or licensed to CliniTech and are protected by applicable intellectual-property laws.

These Terms provide a limited right to use the Service while the user or clinic is authorized to access it.

They do not transfer ownership of the CliniTech software or intellectual property to the customer.

Clinics retain their rights in information and materials they lawfully provide to CliniTech.

26. Feedback

If you voluntarily provide suggestions or feedback about CliniTech, you permit CliniTech to use that feedback to improve the Service without an obligation to compensate you, provided that doing so does not grant CliniTech ownership of the clinic's patient or confidential clinical information.

27. Confidentiality

CliniTech recognizes that clinic and patient information may be confidential and sensitive.

CliniTech will process such information in accordance with applicable contractual obligations, the Privacy Policy, security measures, and applicable law.

Users and clinics are responsible for maintaining confidentiality of information they access through the Service and must not disclose patient or clinic information without authorization.

28. Suspension

CliniTech may temporarily suspend or restrict access where reasonably necessary because of:

  • serious security risk;
  • unauthorized use;
  • suspected fraud;
  • material violation of these Terms;
  • legal or regulatory requirements;
  • actions that threaten the security or availability of the Service.

Where appropriate and legally permitted, CliniTech may provide notice and an opportunity to resolve the issue.

Billing-related read-only status is handled separately from security or abuse suspension.

29. Termination

A user may stop using CliniTech at any time.

A clinic may cancel or close its account according to these Terms.

CliniTech may terminate or restrict an account for a material violation of these Terms, unlawful use, serious security risk, or where continued provision of the Service is legally prohibited.

Termination does not eliminate obligations or rights that by their nature should survive termination, including:

  • outstanding payment obligations;
  • confidentiality;
  • intellectual-property provisions;
  • applicable data-retention obligations;
  • limitations of liability;
  • legal claims and dispute provisions.

30. Disclaimer

CliniTech is software used to support clinic operations.

CliniTech is not a healthcare provider and does not replace the professional judgment of doctors, dentists, nurses, clinic staff, or other healthcare professionals.

Clinics and healthcare professionals remain responsible for:

  • patient care;
  • diagnoses;
  • treatment decisions;
  • clinical accuracy;
  • professional obligations;
  • emergency procedures;
  • legally required medical records.

To the maximum extent permitted by applicable law, the Service is provided without warranties that are not expressly stated in these Terms.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

31. Limitation of Liability

To the maximum extent permitted by applicable law, CliniTech will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the Service.

CliniTech will not be responsible for losses caused by:

  • unauthorized use resulting from a customer's failure to protect credentials;
  • inaccurate information entered by clinic personnel;
  • medical or treatment decisions made by healthcare professionals;
  • third-party services outside CliniTech's reasonable control;
  • use of CliniTech contrary to documentation, these Terms, or applicable law.

Any limitation of liability applies only to the extent permitted under applicable law and does not exclude liability that legally cannot be limited or excluded.

32. Governing Law

Unless mandatory law requires otherwise, these Terms are governed by the laws of the Republic of Armenia.

Mandatory consumer, healthcare, privacy, or other legal protections applicable to a particular customer remain unaffected where they cannot lawfully be waived.

33. Changes to These Terms

CliniTech may update these Terms as the Service, business model, or applicable law changes.

The current version will be published on this page with an updated revision date.

Where a change is material and applicable law requires notice, CliniTech may provide additional notice through the Service or registered contact information.

Continued use of the Service after revised Terms become effective may constitute acceptance where legally permitted.
